What is Foreign Entity or Foreign Entity Qualification?


A foreign business entity is an entity formed under a statute or common law in a jurisdiction other than the state in which your corporation was originally formed. The foreign LLC or foreign corporation is registered with the state where you want to do business. It is also known as Out-of-state entity.
For Example: If your company is incorporated in the state of California, but now you want to expand your business in the state of New York, then you would have to file as a foreign entity within the state of New York. In other words - you must apply for authority to conduct business in New York.


Who should apply for foreign entity?

All business entities who want to conduct their business in the state other than the state they were formed, must obtain authority to do so from the concerned state department. This process is commonly referred to as "foreign entity qualification" or "register foreign llc" or "register foreign corporation". By doing so, you will get rights to start your business in that particular state.
Typically, an entity needs not to register in another state if it will be conducting only a few isolated transactions in the state.

What is a Trademark?

A trademark is any word, name, symbol, or device, or any combination, used, or intended to be used, in commerce to identify and distinguish the goods of one manufacturer or seller from goods manufactured or sold by others, and to indicate the source of the goods. In short, a trademark is a brand name.
Trademark rights may be used to prevent others from using a confusingly similar mark, but not to prevent others from making the same goods or from selling the same goods or services under a clearly different mark. Trademarks which are used in interstate or foreign commerce may be registered with the Patent and Trademark Office.
Some people confuse patents, copyrights, and trademarks. Although there may be some similarities among these kinds of intellectual property protection, they are different and serve different purposes.

What is the duration of registration? 
In Most States Trademark renewals are done every Ten (10) years. 

Can a trademark or service mark be reserved before using it? 
No. A mark must be in use prior to filing with the State. 

What is the difference between a trade name and a trademark? 
A tradename (also know as an assumed name or "doing business as") is the name an owner uses to identify his or her business. A trademark is used to identify the goods and products that an individual or business offers to the public.

Amendment In Company


Q : In 2010 a friend and I started a LLC. I had no experience, but he did,so he filed the articles of organization. In 2012 we had a accident and are insurance co.would not cover the claim saying it was a act of god. But are customer wanted us to pay for the damages it was a large amount so my friend panicked. He wanted to close it down. I had a different idea and wanted to keep it going. So I bought him out. But when I went to change agent and address on the LLC I found out that he already dissolved it with out my consent I could start it back up with the same name, but this is a trucking co. And there are a lot of expensive fees. I tried to fill out a certificate of correction (BCS518) but was not able to because I wasn't on the articles of organization that he filled out back in 2010. I need my ex partner to sign the certificate of correction. The LLC is in the state of Michigan. What if he does not want to sign, what can I do.

A : To dissolve corporation or any amendment in company, you need to have consent of all members or stockholders.

LP Limited Partnership.


Q : I am a Canadian citizen looking to incorporate in the US. I have acquired a number of residential properties in the west and southwest and I am looking at a one manager/owner-type of business. Federal Unemployment Taxes


Q : Why pay FUTA and state unemployment when you are the owner?

A : It is only required If you are pulling out payroll from business. If you have structured your business as a  corporation and have profit then both taxes are required to pay along with your p.roll taxes but If you have structured your business as an LLC (Limited Liability company) then you are not required to pay Federal Unemployment Taxes (FUTA) an (U.I) Unemployment taxes.

Annual Report Filing


Annual Report is also known as Statement of Information and Biennial Statement. All profit and non-profit corporations (domestic and foreign), as well as all limited partnerships, limited liability companies, and limited liability partnerships must submit annual reports and associated processing fees each year following their dates of incorporation/registration with their respective secretary of states. Annual report filing is a prerequisite for maintaining an active business status.

Every entity must submit an Annual Report once a year. Failure to submit a properly- completed form on or before the due date subjects the entity to being administratively dissolved or having its authority to transact business revoked. In many states dedicated Commission will send only one postcard notice reminding the corporation of the due date. Monetary penalties will be assessed for late-filed Annual Reports, pursuant to Article/Business Act of that particular state in which corporation is being operated. Penalties begin accruing the day after the due date.
